The Client

Rain made every window in Halcyon look like a confession. Naomi Brooks arrived with a folder wrapped in a grocery bag. Her bakery employed twelve people. The building owner wanted the block cleared. I had once drafted contracts for people who called that progress. Now I worked for people who had to live inside the fine print.

NAOMI

He says the purchase option never meant anything.

MERCER

Show me what he signed.

NAOMI

I paid a thousand dollars to keep the offer open.

MERCER

Then we start with the agreement, not his new explanation.

I represent Riverside Bakery LLC. Naomi directs its decisions as the authorized manager. The building, the financing, and the oven are separate transactions.

The Paper Door

Six months earlier, Victor Hale had signed a sixty-day option. The property was identified by legal description. The price was fixed. Exercise required written notice received at his designated office before five on the final day. Naomi paid the option fee. Hale had hoped the bakery would never find financing.

We were discussing possibilities.

NAOMI

You signed a purchase option.

HALE

My private intention was never to sell.

MERCER

The court will examine what you communicated and agreed to.

An undisclosed intention does not rewrite an objectively definite bargain. A valid option also requires us to follow its exercise terms carefully.

Received

June Park built a timeline from native emails, attachments, and delivery records. Naomi had exercised the option in a signed letter delivered to Hale's designated office. His assistant had stamped the copy at 4:12 p.m. Hale's lawyers claimed the office had stopped accepting notices at four.

The assistant authorized to receive office deliveries.

MERCER

Get her account and preserve the original receipt.

Option acceptance ordinarily must reach the offeror on time; the ordinary mailbox rule is not our shortcut. Here the prescribed notice was actually received.

One Oven

The bakery also ordered one industrial oven from Atlas Equipment for $60,000. Atlas accepted the order by a signed email identifying the model, quantity, price, and delivery date. Naomi paid a $20,000 deposit. The email did not make acceptance conditional on later boilerplate. The problems arrived after the bargain.

MERCER

Keep that confirmation with the order and payment record.

The property option is governed by real-property and common-law rules. The movable oven is a sale of goods under the state's enacted Article 2.

Contracts study notes

Identify the governing law

Common law generally governs services and real-estate bargains. UCC Article 2 generally governs transactions in goods. Mixed transactions require the jurisdiction's test, commonly predominant purpose; some use a gravamen approach. Classify each agreement separately.

Locate the objective agreement

An offer must reasonably communicate a commitment capable of acceptance. Common-law acceptance ordinarily must match the offer. Preliminary negotiations, estimates, and expressions of hope may lack commitment. Objective manifestations matter; a secret reservation ordinarily does not defeat them.

Protect the option

A supported option restricts revocation during its term. Its acceptance ordinarily becomes effective on receipt, and the prescribed exercise method matters. A land option also raises writing and signature requirements. Our fictional option is signed, specific, supported by a paid fee, and timely exercised.

Track the sale

Article 2 allows agreement through writings or conduct even if some terms remain open, provided the parties intended a contract and a reasonably certain remedy exists. Quantity is especially important. Do not turn every price quotation into an offer or every acknowledgment into an unconditional acceptance.
