Complete the sequence
Identify each agreement and its governing law. Analyze offer and acceptance, consideration or alternative enforcement bases, formalities and defenses. Establish adopted terms and modifications. Determine conditions, performance, breach, cure, repudiation, excuse, and the persons holding rights. Choose and calculate a supported remedy. Address procedure, available evidence, settlement, and collection separately.
Deadlines require a delivery rule
Read what must happen, how, where, and by when. An option exercise, a certificate, an acceptance, and a payment can have different effectiveness rules. Preserve attribution and receipt where required. A promise to attempt performance is not identical to a condition requiring an event. A deadline cannot be extended unilaterally simply because the extension seems fair.
Payment and release are not synonyms
A signed settlement can create enforceable duties, while a release may be immediate or conditional according to its valid terms. Examine authority, scope, consideration, performance, reservation of rights, and remedies for settlement breach. Here cleared payment triggers the release. A judgment, appeal, payment, satisfaction, and collection are different events; this ending contains no judgment.
Reconcile the client’s entire position
Recovery against one counterparty does not excuse unrelated obligations. Confirm goods accepted, rights actually granted, service work paid, option requirements met, remaining claims resolved, and funds received. Avoid duplicate recovery and false concessions. An exam answer should connect each consequence to its agreement and facts instead of producing one global declaration that the client wins.

Change one fact: the settlement signs on September 22, but Rivet does not pay. Its release expressly depends on cleared payment. Has signing alone necessarily activated that release?
- Yes. Every release is immediately effective regardless of its terms.
- No. Analyze the agreed condition, settlement obligations, and available remedies for nonpayment.
- Yes. An unpaid settlement is automatically a court judgment.

B. The written release condition matters. The client may have rights under the settlement and reserved original claims, depending on the agreement and governing law. Do not assume an unpaid signature is payment or that private agreement equals judgment.
